1. Introduction

1.1. These Terms of Use (“Terms”) govern the use of the Knowledge Catalyst Platform and its associated Cross-Border Trade Finance Ecosystem, Sustainability Ecosystem, Health & Insurance Ecosystem, and Talent Ecosystem. These Terms apply to all users, whether government entities (B2G), businesses (B2B), business-to-consumer service providers (B2B2C), or individual users.

1.2. By accessing or using the platform, you agree to these Terms, our Privacy Policy, Cookies Policy, Acceptable Use Policy, and Accessibility Policy. If you are acting on behalf of a government or entity, you warrant that you are authorized to bind that entity.

2. Scope of Services

2.1. Cross-Border Trade Finance Ecosystem

  • This ecosystem supports the digital facilitation of global trade by enabling secure transactions between various stakeholders (e.g., exporters, importers, financial institutions, government agencies). The platform offers document issuance, payment tracking, and trade financing tools.

2.2. Sustainability Ecosystem

  • This ecosystem manages sustainability initiatives such as carbon credit tracking, reporting, and certification in line with global environmental standards.

2.3. Health & Insurance Ecosystem

  • The platform manages cross-border healthcare services, insurance claims, and medical records, integrating with national systems like HealthierSG and SatuSehat to support continuity of care across borders.

2.4. Talent Ecosystem

  • This ecosystem provides credential management, employment verification, and education-related services for businesses, educational institutions, and government bodies.

3. Eligibility and User Accounts

3.1. Account Creation

  • Users must register an account to access our platform services. Only authorized users may register on behalf of an entity or government. Each user is responsible for maintaining the confidentiality of their credentials and all activities that occur under their account.

3.2. Account Security

  • You agree not to share your login credentials or provide access to unauthorized users. We reserve the right to suspend or terminate accounts in cases of security breaches or unauthorized use.

4. Compliance with GDPR, PDPA, and ISO Standards

4.1. Data Protection Compliance

  • Knowledge Catalyst is committed to complying with data protection regulations including the General Data Protection Regulation (GDPR), Personal Data Protection Act 2012 (PDPA), and relevant ISO standards such as ISO 27001, 27701, 27017, and 27018.

4.2. User Responsibility for Compliance

  • All users must ensure their own compliance with applicable data privacy and sector-specific regulations. For businesses, this includes GDPR or PDPA compliance in their handling of user and consumer data on the platform.

4.3. Security and Encryption

  • Knowledge Catalyst uses strong encryption protocols and access controls in accordance with ISO 27001 and ISO 27701 to protect the integrity and security of personal and sensitive data processed on the platform.

5. Use of the Platform

5.1. B2G Users

  • Government entities are responsible for ensuring compliance with national regulations on public procurement, data sovereignty, trade, and other sector-specific rules related to healthcare and education.

5.2. B2B Users

  • Businesses using the platform for trade, sustainability, healthcare, or talent services must comply with international trade laws, sector-specific regulations (e.g., HIPAA for healthcare), and the required ISO standards for data protection.

5.3. B2B2C and Individual Users

  • Service providers delivering to consumers and individual users must ensure compliance with data privacy laws and are responsible for the accuracy of data provided on the platform.

6. Fees and Payments

6.1. Service Fees

  • Fees are applicable for certain services. Payment terms, where applicable, will be outlined in a separate agreement. Failure to make payments in accordance with agreed terms may result in restricted access or account suspension.

6.2. Refunds

  • Unless otherwise specified in separate agreements, fees are non-refundable. Fee disputes must be submitted within 30 days of the transaction.

7. Data Security and Retention

7.1. Security Measures

  • We implement appropriate organizational and technical measures, such as encryption and periodic audits, to ensure the security of personal data in compliance with ISO 27001, 27701, 27017, and 27018 standards.

7.2. Data Retention

  • Personal data is retained only for as long as necessary to fulfill legal, regulatory, or service purposes. We apply a secure deletion process for personal data when it is no longer required, in compliance with relevant regulations.

8. Intellectual Property

8.1. Ownership of Platform Content

  • All content, software, trademarks, and intellectual property rights related to the platform remain the property of Knowledge Catalyst. You are granted a limited, non-exclusive license to use the platform as outlined in these Terms.

8.2. User Content

  • Users retain ownership of any data or content they upload to the platform. By uploading content, users grant Knowledge Catalyst a license to use, modify, and distribute that content solely for the purpose of providing platform services.

9. Limitation of Liability

9.1. Exclusion of Liability

  • Knowledge Catalyst is not liable for any indirect, incidental, or consequential damages, including loss of data or business, resulting from the use or inability to use the platform, except where caused by gross negligence or intentional misconduct.

9.2. Public Access Liability

  • For any services that include publicly available content or areas, Knowledge Catalyst shall not be held liable for any damages resulting from the misuse or unauthorized access of such publicly available sections of the platform.

9.3. Maximum Liability

  • Our total liability under these Terms shall not exceed the amount paid by the user for services in the 12 months preceding the claim.

10. Indemnification

10.1. User Indemnity

  • Users agree to indemnify Knowledge Catalyst, its affiliates, directors, employees, and partners from any claims, damages, or legal expenses arising from:
    • Violation of these Terms.
    • Misuse of the platform.
    • Breaches of data protection laws or sector-specific regulations.

10.2. Indemnity for Public Access Users

  • Public users accessing non-restricted sections of the platform are responsible for any damages or legal claims arising from misuse or non-compliance with these Terms.

11. Termination and Suspension

11.1. Termination by User

  • You may terminate your account at any time by following the process outlined in the user settings. Upon termination, you must cease all use of the platform, and we will deactivate your account and delete any associated data as required by applicable law.

11.2. Termination by Knowledge Catalyst

  • We may suspend or terminate user accounts for breaches of these Terms, failure to comply with payment obligations, or violations of applicable law.

12. Governing Law and Dispute Resolution

12.1. This Terms of Use is governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes or claims arising out of or in connection with this policy will be subject to the exclusive jurisdiction of the courts of Singapore. Knowledge Catalyst reserves the right to enforce its rights under this policy in other jurisdictions where necessary.

12.2. Dispute Resolution Process

  • Before initiating legal action, the parties agree to attempt to resolve any disputes through good-faith negotiations.

14. Changes to These Terms

14.1. Right to Modify

  • We reserve the right to modify these Terms at any time. Any significant changes will be communicated through our platform, via email, or by other means.

14.2. Acceptance of Changes

  • Your continued use of the platform after such modifications constitutes your acceptance of the updated Terms. It is your responsibility to review the Terms regularly. If you do not agree with any changes, you should discontinue use of the platform.
